What is SEC Form 4?
SEC Form 4 must be filed within two business days when company insiders (officers, directors, or 10%+ shareholders) buy or sell company stock. This transparency helps investors track "smart money" moves.
Why Track Insider Activity?
Insiders have unique knowledge about their company's prospects. While they can't trade on material non-public information, their buying patterns may signal confidence in the company's future.
Buying vs. Selling
Insider buying is often considered more significant than selling. Insiders may sell for many reasons (diversification, taxes, personal needs), but they typically only buy when they believe the stock is undervalued.
Cluster Buying
When multiple insiders buy around the same time ("cluster buying"), it can be a stronger signal than a single insider's purchase. Look for patterns across the C-suite and board of directors.
